1375506 Alberta Ltd., previously Edge Innovations Inc. (the "Company") is a project management company specializing in the design, procurement, and installation of fabric truss structures. The Company is headquartered in Edmonton, Alberta. 

On June 5, 2025, the Company filed a Notice of Intention to Make a Proposal ("NOI") under subsections 50.4(1) of the Bankruptcy and Insolvency Act ("BIA").

On June 24, 2025, the Company applied for and obtained an Order approving, among other things, a stalking horse sales and investment solicitation process (the “SISP”) in respect of the operations, property, assets, and undertakings of the Company. The Company’s assets include tools and installation equipment, proprietary engineering and design resources, and a portfolio of trade accounts receivable from a diversified client base.

All parties interested in participating in the SISP (a “Potential Bidder”) are required to sign a non-disclosure agreement (a “NDA”), provide a brief letter supplying the Potential Bidder’s identity, contact information and full disclosure of its direct and indirect principals, and any other information that the Proposal Trustee may reasonably request. Access to confidential information will be provided upon receipt of these documents.

All bids must be received by the Proposal Trustee by no later than July 21, 2025, at 5:00 p.m. MDT

On August 11, 2025, the Company applied for and obtained an Order extending the time within which the Company is required to file a Proposal to September 15, 2025. The remainder of the application was adjourned to September 12, 2025. 

On September 12, 2025, The Company applied for and obtained an Order approving the Stalking Horse Purchase Agreement and vesting title to the purchaser and extending the time within which the Company is required to file a Proposal to October 29, 2025.

The Company failed to file a Proposal by October 29, 2025, and as a result, was deemed bankrupt effective October 30, 2025. The First Meeting of Creditors in the Bankruptcy will be held via teleconference on the 20th of November 2025 at 11:00 AM MST. Call in details can be found in the creditors package posted below.
